Course Description

In this course you will develop a  broad and coherent theoretical and technical knowledge of the legal principles relating to corporations and corporate finance. In this course you will examine the key legal obligations and implications over the lifecycle of a company in Australia – from registering a company, the operation of a company (including corporate governance and corporate finance) through to the winding up of a company and de-registration (including corporate insolvency).


Objectives/Learning Outcomes/Capability Development

CLO1: Demonstrate an understanding of the relevant legal and factual issues relating to an Australian company and its operations, including evaluating, analysing, and applying relevant provisions of the Corporations Act 2001 and other relevant statutory and case law. 

CLO2: Analyse and generate solutions making reasoned make reasoned and appropriate choices among alternatives on a range of legal problems relating to corporate law and corporate finance.

CLO3: Communicate effectively with clients and other business professionals on a range of commercial issues to indicate the corporate law consequences of actions taken or proposed. 

CLO4: Conduct research into the corporate law and corporate finance including analysing legal issues and law reform proposals within the broader business and social context.


Overview of Learning Activities

In this course you will be motivated to be an active learner. Students will be required to develop their knowledge and skills through both the course materials supplied as well as their own self-directed research and intellectual inquiry. Students will develop knowledge and skills related to law and legal practice impacting new and emergent technologies. Your learning will be supported through various in-class and online activities comprising individual and group work. These may include quizzes; assignments; prescribed readings; sourcing, researching and analysing specific information; solving problems; conducting presentations; producing work in a variety of media and collaborating with peers on set tasks or projects.
